These are the Terms and conditions under which I, Anne-Sophie Ronvaux, provide translation, editing and content creation services. My registered office is at Glenshesk, V94T6FE, Templeglantine, County Limerick, Ireland. This document states my rights and obligations as a provider (“I”, “the service provider”), as well as those of any natural person or legal entity wishing to benefit from my services (“you”, “the client”).
1. Application
If you place an order, it implies that you have prior knowledge of, and agree with the provisions of these Terms and conditions. No special condition can prevail over these general terms and conditions, unless otherwise formally stated on the firm and final purchase order.
The performance of any service by me, as a service provider, implies that you, the client, agree to these Terms and conditions and waive your own purchase conditions. Therefore, any contrary condition will, unless expressly accepted, be void against me, regardless of when it may have been brought to my attention.
If I do not claim one of these provisions at some point, from any of these Terms and conditions, it cannot be interpreted as a waiver to such a provision at a later stage.
2. Getting a quote and placing your order
Each client’s order is usually preceded by a free quote based on the deliverables to translate, proofread, adapt, create, audit or edit, and on the information you provided.
The quote will be sent to you by e-mail and will specify:
- the number of words submitted for translation, proofreading or editing, or the estimation of the hours necessary for creative or quality audit projects;
- the scope of service;
- how the total price of the service is calculated. The latter is billed based on a flat-rate and based on my hourly fee or source word rates (i.e., the words in the document to translate, proofread or edit, according to the calculation provided by Google Docs) at the time the quote is established;
- the delivery date and time of the service;
- the format of the documents to proofread, adapt, create, audit or edit in case a specific layout has been requested for the deliverables;
- any surcharge applied, especially for emergencies, non-editable file formats, specific research or any other request beyond the scope of services described on my website.
To confirm your order in a legally binding manner, please send back the quote by email without any modification and with the expression of your consent.
In case I fail to receive your order confirmation, I will not be able to start working on your project. Failing to receive confirmation of the order according to the Terms set out above within the deadline stated on the quote or within 3 (three) months from the date of emission of the quote, the latter is deemed to have lapsed.
I reserve the right, after having informed you, to charge an additional fee and/or to abstain from meeting the delivery date stated on your original order in the following cases:
- Modification or addition of documents after I sent you the initial quote. In that case, I will adjust rates based on the additional volume of work estimated or requested.
- If document were not sent to me during the preparation of the quote (if the quote had to be done based on a mere estimation of the number of words or an excerpt of the content).
If I don’t receive your express agreement regarding these new delivery and billing conditions, I will not be able to start working on your project.
Any decision to apply a discount or rate reduction, based on a percentage or a flat rate (per source word or per hour), will be at my sole discretion and only for the concerned service. Any discount or reduced price granted to you cannot, in any case, give rise to a right acquired for subsequent orders.
Assuming no prior quote has been addressed to you, the orders are made through a simple exchange in writing via e-mail or online chat, and the services are billed according to my usual rate, or any rate agreed between us beforehand. Once you have agreed to the deadline indicated by me, this agreement is binding.
3. Proof of order
For the purposes of proving acceptance of the quote, you agree to consider emails, electronic chat messages, copies and any digital format as undisputed proof of the order, having the same legal validity as the original document.
4. Down payment
Any order of an amount (VAT excluded) exceeding 500 (five hundred) euros will require a 30% down payment which will be clearly specified on the quote. In that case, I will only start working on the project after receiving this down payment.
5. Delivery deadline
Subject to my receipt of all the documents necessary for the performance of the service, the deadline given as an indication and mentioned on the quote is applicable only after you have confirmed your order according to the terms and conditions set out in the Article 2 above within 3 (three) working days starting from the reception of the quote.
After this date, the delivery date can be subject to change depending on my workload.
6. My obligations as a service provider
I will endeavour to perform the translation, proofreading, adaptation, copywriting, audit or editing, revision in accordance with the standards of the profession. The client is aware that, due to the nature of linguistic services, it is impossible to guarantee that any work is 100% error free.
I will do everything possible to take into account the information given by you (glossaries, briefs, style guides, visuals, translation memories…).
In case the original document is incoherent or ambiguous, I shall contact you immediately with questions, but in the absence of answers or instructions, I shall deliver the work on deadline with explanations about the choices I made, on a best effort basis. In that situation, I decline all further responsibility, as checking the technical coherence of the final text is your sole responsibility as a client.
7. Confidentiality
All knowledge and information expressly identified by you in writing as confidential, which I acquire regarding your business and products while providing my services to you, shall be maintained in confidentiality and, except as expressly authorised by you in writing, shall not be divulged or published.
Confidential information for purposes of this paragraph shall not include information which is or becomes available to the general public, provided the disclosure of such information did not result from a breach by me of this paragraph.
Original documents will be returned to you upon written request. My responsibility cannot be engaged in cases where information is intercepted or misappropriated during transfer, especially via the Internet. Therefore, it belongs to you, the client, to properly inform me before or when the order is placed, of your preferred means of transmission to guarantee the confidentiality of any sensitive information.
8. Document format
Documents to translate, proofread, adapt, create, audit or edit can be provided in an editable format (DOC, DOCX, ODT, XLS, XSLX, PPT, PPTX, ODP, RTF) or in the standard localization XLIFF file format. I can also work directly on your platform (Translation Management Systems, for example).
Surcharges will apply to work involving non editable formats such as PDF.
9. Responsibility
My responsibility as a service provider is limited only to the amount stated on the related invoice.
Nothing in this agreement shall limit my liability to you (a) for fraud or fraudulent concealment or (b) to the extent that under any applicable law liability may not be limited.
The client agrees to indemnify and hold me, the service provide, harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable solicitors’ fees) which I may incur in performance or as a result of the work specified under these Terms and conditions.
I shall make every effort to complete services by the quoted completion date, but the delivery deadlines are provided for information only and missed deadlines cannot give rise to penalties for delay. In any event, I shall not be held liable for direct or indirect harm to you, the client, or a third party resulting from a delivery delay caused by events beyond my control.
10. Disagreement on deliverables
I welcome your feedback. Upon receipt of the deliverable, you, the client, shall promptly review it, and within 15 days of receipt, notify me of any requested corrections or changes. I will correct any errors identified, at no cost to you.
One round of correction/editing/proofreading after client feedback is always included in all services. Any further correction or revision/proofreading is subject to additional billing based on my current hourly rate.
IMPORTANT: if the translated, adapted, created, proofread or edited deliverable is to be printed, I must receive the printing proofs to proofread.
I shall have no responsibility whatsoever for any changes made to the deliverables by persons other than me.
11. Payment
Unless otherwise specified on the quote, the invoices shall be intended net and without discount and payable within thirty (30) days from the date of issue of the invoice. I accept payments made using Paypal, bank wire and Veem.
I retain full ownership of the translated, proofread, adapted, created, audited or edited deliverables until payment is received in full. The European Communities (Late Payment in Commercial Transactions) Regulations 2012 (2012-SI 580) shall apply to all late payments and I shall be automatically entitled, without the necessity of a reminder, to statutory interest and compensation for late payments.
12. Order cancellation
If, after confirming your order, you cancel or withdraw any portion of the agreed deliverables prior to my completion of the services, then, in consideration of my scheduling and/or performance of said services, you shall pay the portion of the agreed fee represented by the percentage of total services performed, but in any event not less than 20% of said fee.
13. Intellectual property
Before submitting a document for translation, proofreading, adaptation, creation, quality audit or editing, you must ensure that this does not infringe on any third-party rights. You must be the author of the original document or have obtained prior written permission to translate, proofread, adapt or edit the document from whoever holds copyright.
I shall not be held responsible if all or part of the documents you submitted happens to infringe on the intellectual property rights or any other right of a third party or any applicable laws or regulations.
In case of intellectual property infringement, you, the client, shall bear any potential damages and financial consequences. Furthermore, you acknowledge that the translated, proofread, adapted, created or edited deliverable I deliver is a new document, whose copyright is held jointly by the author of the original document and me.
Upon your completion of all payments provided herein, the deliverables described in paragraph 1 above shall be your property. I shall have no obligation to take any steps to protect any copyright, trademark or other right of client with respect to the deliverables, except as may be expressly otherwise provided in these Terms and conditions.
14. Applicable Law
These Terms and conditions shall be governed by the laws of the Republic of Ireland and the European Union. These Terms and conditions have last been amended on the 18th of November, 2024 and will be revised if necessary.
